Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between you and Triptomize, a business established in the Netherlands (“Triptomize”, “we”, “us”, or “our”), operator of the APIgent service. By creating an account, signing in, or otherwise using the APIgent website, applications, and services (collectively, the “Service”), you agree to these Terms and to our Privacy Policy and Cookie Policy. If you do not agree, do not use the Service.

1. The Service

APIgent is an AI-assisted platform that lets you (a) hold conversations with large language models supplied by third-party providers, (b) connect external software (such as issue trackers, messaging apps, document stores, and databases) to those conversations via credentials you supply, and (c) have the platform read from and propose write actions against those connected tools on your behalf.

2. Eligibility

You must be at least sixteen (16) years old to use the Service, or the minimum age at which an individual can give valid consent to the processing of personal data in your country of residence, whichever is higher. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms and that “you” in these Terms refers to that organisation.

3. Your account

You are responsible for safeguarding the credentials (including third-party identity provider credentials such as Google) used to access your account, and for everything that happens under your account. You agree to notify us immediately at triptomize@codecrox.com if you suspect unauthorised access. We may suspend or close accounts that show signs of compromise, fraudulent activity, or material breach of these Terms.

4. Your content and connected tools

4.1 Your content

Your Content” means everything you submit to the Service, including prompts, files referenced via connected tools, configuration you enter, and the outputs the Service produces for you. As between you and us, you retain all rights in Your Content. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, process, transmit, and display Your Content solely to the extent necessary to provide the Service to you, to maintain security, and to comply with legal obligations.

4.2 Your responsibility

You represent and warrant that you have the rights necessary to submit Your Content to the Service, that Your Content does not infringe the rights of any third party, and that the processing we perform at your direction (including sending content to third-party AI providers and to tools you connect) does not violate any law or contract that binds you.

4.3 Connected tools

When you connect a third-party tool (for example Jira, Slack, GitHub, Google Workspace, a database, or a custom REST API), you authorise APIgent to use the credentials you provide to call that tool on your behalf in line with your instructions in the Service. You are solely responsible for: ensuring you are permitted to grant such access; complying with that tool’s own terms of service and acceptable use rules; setting appropriate scopes and permissions; and revoking access promptly if your authority to use the tool ends.

4.4 Credentials

Credentials you supply for connected tools (API tokens, OAuth refresh tokens, database passwords, AWS keys, etc.) are encrypted at rest in our secrets store and are only decrypted at the moment we make a call to the corresponding tool on your behalf. We do not display them back to you in plaintext after entry, we do not share them with any party other than the tool whose credentials they are, and we do not use them for any purpose other than carrying out your instructions.

5. AI features

5.1 Third-party AI providers

The Service relies on large language models operated by third-party providers (currently including Anthropic, OpenAI, Google, and DeepSeek; the full up-to-date list is in our Privacy Policy). When you send a prompt or run an agent, the content you submit, the content the agent reads from your connected tools in order to answer you, and the resulting outputs may be transmitted to and processed by the provider whose model you have selected for that thread. Each provider processes your data under its own terms; you are responsible for selecting a provider whose terms are acceptable to you and for not submitting content to a provider in breach of those terms.

5.2 No guarantee of accuracy

AI outputs can be inaccurate, incomplete, biased, or out-of-date. They may include statements that look authoritative but are wrong. You must independently verify any output before relying on it, especially for decisions affecting people, money, safety, legal rights, or health. Outputs are not professional advice and do not establish any professional relationship.

5.3 Write actions

The Service surfaces “action proposals” for any operation that would write to or delete data in your connected tools. By approving an action proposal you authorise that specific call. We will not execute write or destructive operations against your connected tools without your express approval through the action-proposal flow.

6. Acceptable use

You agree not to, and not to permit anyone else to:

  • use the Service in any way that violates any applicable law or regulation;
  • upload, generate, or distribute content that is unlawful, infringing, defamatory, harassing, hateful, sexually explicit involving minors, or that promotes violence or self-harm;
  • attempt to circumvent the safety, content, or rate-limit controls of any integrated AI provider or to use the Service to evade the terms of any third-party service;
  • use the Service to develop a competing product, scrape or mass-extract content, or train models on outputs of the Service except as permitted by the underlying providers’ terms;
  • introduce malware, attempt to gain unauthorised access to the Service or other users’ data, or interfere with the integrity or performance of the Service;
  • misrepresent your identity, impersonate another person or entity, or submit credentials you are not authorised to use.

We may investigate suspected breaches and may suspend or terminate access in response, with notice where practicable.

7. Fees

Where the Service is offered on a paid basis, fees, billing periods, payment terms, and refund policy are as described in the order form, pricing page, or plan you subscribe to, which form part of these Terms. We may change pricing on prospective renewal terms with reasonable advance notice. Any taxes applicable to fees are payable in addition unless stated otherwise.

8. Intellectual property

The Service, including the underlying software, documentation, design, trademarks, and all related intellectual property, is and remains the property of APIgent and its licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal use. All rights not expressly granted are reserved.

9. Feedback

If you send us feedback, suggestions, or feature ideas, you grant us a perpetual, irrevocable, royalty-free licence to use them for any purpose without any obligation to you.

10. Privacy

Our processing of personal data is described in the Privacy Policy, which forms part of these Terms.

11. Term and termination

These Terms apply from the time you first use the Service and continue until terminated. You may stop using the Service and delete your account at any time. We may suspend or terminate your access, with or without notice, if you materially breach these Terms, if continued provision is impractical, or as required by law. On termination: your right to use the Service ends; we will delete or de-identify Your Content within a reasonable period in line with the retention rules described in the Privacy Policy; provisions that by their nature should survive (including sections 4.2, 5.2, 8, 9, 12, 13, 14, 15, and 16) will survive.

12. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, to the maximum extent permitted by law. Without limiting the foregoing, we disclaim all implied warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, and freedom from defects, viruses, or errors. We do not warrant that outputs of the AI features will be accurate, that the Service will be uninterrupted or error-free, or that integrations with third-party tools will remain available. Nothing in this section limits any warranty that cannot legally be excluded.

13. Limitation of liability

To the maximum extent permitted by applicable law, in no event will APIgent or its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation loss of profits, loss of revenue, loss of data, loss of goodwill, business interruption, or costs of substitute services, arising out of or relating to these Terms or your use of the Service, whether based in contract, tort (including negligence), strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.

To the maximum extent permitted by applicable law, our aggregate liability for all claims arising out of or relating to these Terms or the Service will not exceed the greater of (a) the total fees you paid to us for the Service in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) USD 100.

Nothing in these Terms limits or excludes liability that cannot lawfully be limited or excluded, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded under applicable consumer protection laws. Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages; in those jurisdictions our liability is limited to the smallest extent permitted by law.

14. Indemnification

You agree to defend, indemnify, and hold harmless APIgent, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) Your Content; (b) your use of the Service in breach of these Terms; (c) your use of any connected third-party tool in breach of that tool’s terms; or (d) your violation of any law or the rights of any third party.

15. Changes

We may update these Terms from time to time. If we make material changes, we will give you reasonable notice — for example by email or by a notice in the Service — before they take effect. Your continued use of the Service after the effective date of an update constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service before the changes take effect.

16. Governing law and dispute resolution

These Terms are governed by the laws of the Netherlands, without regard to its conflict-of-laws rules. The competent courts of the Netherlands have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information. If you are a consumer based in the European Economic Area or the United Kingdom, you also benefit from any mandatory provisions of the law of your country of residence; nothing in this section deprives you of those protections.

17. Miscellaneous

These Terms, together with the Privacy Policy, Cookie Policy, and any order form or plan you subscribe to, constitute the entire agreement between you and us about the Service and supersede any prior agreement on the same subject matter. If any provision is held unenforceable, the remaining provisions remain in full force. Our failure to enforce a right is not a waiver. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
